Disclaimer
I request business advisory and coaching services from Butterflies Pause Inc. doing business as the Business Learning Hub (Hub). I understand that any information received by a resource Advisor will be held in strict confidence by the Advisor to the extent allowable by law. I further understand that any Advisor has agreed:
(1) not to recommend goods or services from sources in which he or she has an interest; and
(2) not to accept fees or commissions developing from this relationship.
In consideration of the Hub providing management, technical, educational, or any other kind of Advisory service, I agree to waive all claims against the Hub, its personnel, officers, contractors, volunteers, affiliated Service Providers, and/or other resources participants.
Confidentiality
I understand that I may acquire Confidential Information which relates to the business, finances, and operations of the Hub and/or of Hub Members (other Hub participants like myself seeking advisory help via educational programs). I agree to treat all such Confidential Information as confidential and to not use such information for my personal benefit or for any purpose. I will not disclose any such Confidential Information to others (either directly or indirectly) at any time, during the period of my membership with the Hub or afterwards. I further acknowledge and agree that all Confidential Information of the Hub and its Members shall be and remain the sole and exclusive property of the Hub and of its Members, as applicable.
โConfidential Informationโ shall mean any information (disclosed directly or indirectly, in writing, orally or by presentations or drawings or inspection of facilities) concerning the business, operations, organization, or finances of the Hub and its Members, or any third-party which the Hub or any of its Members is under an obligation to keep confidential or that is otherwise maintained as confidential. Such Confidential Information shall include, but is not limited to, information shared by Hub Facilitators, personnel, contractors, volunteers and Hub Members during educational programs and meetings.
This restriction regarding Confidential Information shall not apply to information which:
(a) is or becomes generally available to the public other than as a result of a disclosure, directly or indirectly, by me;
(b) was available to me on a non-confidential basis prior to its disclosure to me by the Hub or any Hub Member by a source, which source was not itself bound by a duty of confidentiality with respect to such information; or
(c) is disclosed pursuant to the lawful requirement or request of a governmental agency, or disclosure is required by operations of law, provided that I agree that I will, to the extent legally permissible:
(i) provide the Hub and/or its relevant Member(s) with prompt and timely written notice so that the Hub and/or its relevant Member(s) may take steps to oppose such disclosure;
(ii) cooperate with the Hub and/or its relevant Member(s) to obtain a protective order or other remedy to protect Confidential Information; and
(iii) if a protective order or other remedy cannot be obtained, I shall disclose only that Confidential Information that I am legally required to disclose.
